ELEC TROVERZ SELLER AGREEMENT

This Seller Agreement ("Agreement") is entered into between ElecTroverz ("Platform", "Company", "We", "Us") and the Seller ("You", "Seller", "Merchant") who registers to list and sell products on the platform.

By registering as a seller on ElecTroverz, you acknowledge that you have read, understood, and agree to be legally bound by the terms and conditions stated below.

1. ELIGIBILITY & BUSINESS REPRESENTATION

You confirm that:
- You are legally capable of entering into binding contracts.
- You are authorized to operate a business and sell the listed products.
- All information provided during registration is accurate and up to date.

In case of business entities, the person registering represents that they are authorized to act on behalf of the organization.

2. PRODUCT AUTHENTICITY & LEGALITY

You agree that:
- All products listed are genuine, authentic, and legally sourced.
- You will not list counterfeit, restricted, or prohibited items.
- You comply with all applicable product laws, certifications, and safety standards.

Violation may result in immediate suspension or legal action.

3. PRODUCT LISTINGS & CONTENT

You are solely responsible for:
- Accurate product descriptions, specifications, and images
- Correct pricing, discounts, and stock availability
- Proper categorization and tagging

You agree not to upload misleading, false, or deceptive content.

4. ORDER PROCESSING & FULFILLMENT

You agree to:
- Accept and process orders within a reasonable time
- Ship products within promised timelines
- Maintain proper packaging and product quality
- Provide shipment tracking details (if applicable)

Repeated delays or cancellations may result in penalties or account restrictions.

5. PRICING, PAYMENTS & COMMISSION

- You are responsible for setting product pricing.
- ElecTroverz may introduce commission, service fees, or transaction charges.
- Payments will be settled as per platform-defined settlement cycles.
- The platform reserves the right to hold or adjust payouts in case of disputes or violations.

6. RETURNS, REFUNDS & CANCELLATIONS

You agree to:
- Accept returns and process refunds/replacements as per platform policies
- Handle defective or damaged product claims responsibly
- Follow applicable consumer protection laws

7. CUSTOMER SERVICE OBLIGATIONS

You must:
- Maintain professional communication with buyers
- Respond to queries and complaints in a timely manner
- Ensure a satisfactory customer experience

8. COMPLIANCE WITH LAWS

You agree to comply with all applicable laws including but not limited to:
- GST and taxation laws (India)
- Consumer Protection Act
- E-commerce regulations
- Import/export regulations (if applicable)

You are solely responsible for tax filings and compliance.

9. PROHIBITED ACTIVITIES

You shall not:
- List counterfeit, illegal, or restricted products
- Manipulate pricing unfairly
- Engage in fraudulent or deceptive practices
- Create duplicate or spam listings
- Misuse platform data or customer information

10. INTELLECTUAL PROPERTY

You confirm that:
- You have rights to use product images, descriptions, and trademarks
- You will not infringe third-party intellectual property rights

11. PLATFORM ROLE & LIMITATION OF LIABILITY

ElecTroverz acts as a marketplace facilitator and is not responsible for:
- Product quality or defects
- Seller inventory or stock issues
- Direct disputes between buyers and sellers

The platform is not liable for indirect, incidental, or consequential damages.

12. ACCOUNT SUSPENSION & TERMINATION

ElecTroverz reserves the right to:
- Suspend or terminate seller accounts
- Remove listings without prior notice
- Withhold payouts in case of violations or disputes

13. DATA & PRIVACY

You agree to:
- Use customer data only for order fulfillment purposes
- Not misuse, share, or sell customer information

14. MODIFICATIONS TO AGREEMENT

ElecTroverz reserves the right to modify this Agreement at any time. Continued use of the platform constitutes acceptance of updated terms.

15. B2B SELLER TERMS (APPLICABLE FOR WHOLESALE SELLERS)

- Sellers must honor bulk pricing agreements
- Orders must be fulfilled as per negotiated terms
- Professional documentation and invoicing must be maintained

16. B2C SELLER TERMS (APPLICABLE FOR RETAIL SELLERS)

- Clear product information must be provided
- Return/refund handling must follow consumer standards
- Product warranties must be honored where applicable

17. GOVERNING LAW

This Agreement shall be governed by and interpreted in accordance with the laws of India. Any disputes shall be subject to jurisdiction of competent courts.
